1. General Terms and Compliance

• Agreement: By participating in any Event organized by 365 Night Market LLC, you agree to these Terms and Conditions and any additional guidelines or policies provided by 365 Night Market LLC.

• Applicable Laws: All Participants must adhere to local, state, and federal laws, regulations, and ordinances relevant to the Event, including health, safety, fire, and zoning regulations.

• Permits and Licenses: Participants are solely responsible for obtaining, maintaining, and prominently displaying any required permits, licenses, or certifications needed to operate legally at the Event, including but not limited to business, sales, and health permits. Failure to provide proof of such permits may result in removal without refund or recourse.

2. Payments and Refunds

• Vendor Booth Payment: Full payment for vendor booths, sponsorships, or partnerships is required upon approval of the application to secure the spot. Payments are non-refundable, except as outlined in these Terms and Conditions or if an Event is canceled by 365 Night Market LLC.

• Additional Fees: Any additional services (such as electricity, water, etc.) will incur extra fees as outlined in the application. These fees are non-refundable.

• Refund Policy: Refunds are only issued if the Event is canceled by 365 Night Market LLC for unforeseen reasons. Refunds will not be granted for cancellations by the Participant, failure to attend, or removal due to non-compliance with these Terms and Conditions.

3. Booth and Space Use

• Assigned Space: All booths and spaces are assigned by 365 Night Market LLC and may not be sublet, shared, or transferred without written consent from the Company.

• Setup and Teardown: Booths must be fully set up 30 minutes before the Event begins and dismantled within 1 hour after the Event ends. Early teardown is prohibited unless authorized by 365 Night Market LLC. Participants are responsible for removing all equipment, products, and waste from their assigned space.

• Booth Appearance: Vendors and Sponsors are encouraged to maintain a clean, professional, and visually appealing booth space. All displays, signage, and products must remain within the assigned space. 365 Night Market LLC reserves the right to adjust or remove any booth setup that obstructs walkways, violates fire safety regulations, or detracts from the overall appearance of the Event.

4. Product and Service Liability

• Quality and Safety: Participants are fully responsible for the quality and safety of their products and services. 365 Night Market LLC is not liable for any damages, injuries, or claims arising from products or services offered by the Participants.

• Prohibited Items: The sale or display of illegal, unsafe, or inappropriate items, including weapons, hazardous materials, or offensive materials, is strictly prohibited. 365 Night Market LLC reserves the right to remove any prohibited items and terminate the Participant’s involvement without refund.

• Insurance: Participants are strongly encouraged to carry general liability and product liability insurance. 365 Night Market LLC is not responsible for insuring Participants' products, equipment, or staff.

5. Code of Conduct and Behavior

• Professional Conduct: Participants are expected to conduct themselves professionally and respectfully at all times. Any disruptive, aggressive, or inappropriate behavior toward attendees, staff, or other vendors may result in immediate removal without refund.

• Noise Control: Amplified sound or music must be kept at reasonable levels and should not interfere with neighboring booths or Event operations. 365 Night Market LLC reserves the right to control noise levels or request removal of sound equipment.

• Compliance with Event Staff Instructions: Participants are required to follow instructions from 365 Night Market LLC staff regarding booth placement, setup, teardown, safety protocols, and any other Event guidelines. Non-compliance may lead to removal from the Event without refund.

6. Intellectual Property and Marketing

• Use of Company Name and Logo: Vendors, Partners, and Sponsors may only use the 365 Night Market LLC name and logo for promotional purposes with prior written consent from the Company. Unauthorized use or reproduction of the Company’s intellectual property is prohibited and may lead to legal action.

• Photography and Media Release: By participating in the Event, you grant 365 Night Market LLC permission to photograph, film, or record your booth, products, and personnel for promotional purposes, without any compensation or additional consent. Participants may not charge 365 Night Market LLC for any use of media captured during the Event.

• Social Media and Marketing Guidelines: Participants may promote their involvement in the Event on social media platforms; however, all promotional content must accurately represent the Event and adhere to 365 Night Market LLC branding guidelines. 365 Night Market LLC reserves the right to request the removal of any content deemed misleading, inappropriate, or in violation of these Terms and Conditions.

7. Indemnification and Liability

• Indemnification Clause: Participants agree to indemnify, defend, and hold harmless 365 Night Market LLC, its organizers, employees, affiliates, and contractors from any claims, liabilities, damages, costs, or expenses arising from their participation in the Event, including but not limited to product liability, personal injury, property damage, or non-compliance with laws and regulations.

• Release of Liability: 365 Night Market LLC is not liable for any loss, theft, damage, or injury sustained by Participants, their staff, or their property during the Event. Participation in the Event is at the sole risk of the Participant.

8. Termination and Modification

• Right to Terminate Participation: 365 Night Market LLC reserves the right to terminate any Participant’s involvement in the Event for violation of these Terms and Conditions, non-compliance with applicable laws, or any conduct that jeopardizes the safety, reputation, or smooth operation of the Event. Termination of participation will result in immediate removal from the Event without refund.

• Amendments to Terms: 365 Night Market LLC reserves the right to modify or update these Terms and Conditions at any time. Participants will be notified of any significant changes, and continued participation in future Events constitutes acceptance of updated terms.

9. Force Majeure

In the event of force majeure, including but not limited to acts of God, natural disasters, war, government regulations, or other unforeseeable events beyond the control of 365 Night Market LLC, the Company reserves the right to cancel, postpone, or modify the Event. In such cases, 365 Night Market LLC is not liable for any losses incurred by Participants and will determine refund eligibility at its discretion.

10. Governing Law and Dispute Resolution

• Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of the state in which the Event is held.

• Dispute Resolution: Any disputes arising from these Terms and Conditions will be resolved through mediation in the state where the Event is held. If mediation fails, the dispute will be resolved through binding arbitration, with both parties responsible for their own legal fees.

By participating in the Event as a vendor, partner, or sponsor, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. Failure to comply may result in immediate removal from the Event without refund or further liability on the part of 365 Night Market LLC.
