Disclaimer: The following Legal Disclaimer applies to all Vendors, Partners, Sponsors, and Participants (collectively, “Participants”) in any event organized by 365 Night Market LLC (“Company,” “we,” “us,” or “our”). By participating in a 365 Night Market event (“Event”), you acknowledge that you have read, understood, and accepted this Legal Disclaimer.

1. No Guarantee of Success or Profitability: Participation in 365 Night Market does not guarantee any minimum level of sales, leads, or profitability. Participants are solely responsible for their own success, marketing, and revenue generation at the Event. 365 Night Market LLC makes no representations, warranties, or assurances regarding the outcome or success of any Participant’s involvement.

2. Limitation of Liability: 365 Night Market LLC disclaims any liability for losses, damages, or injuries suffered by Participants, their staff, or their property during the Event. This includes, but is not limited to, direct, indirect, incidental, and consequential damages. Participation in the Event is at each Participant’s own risk.

3. Insurance: It is each Participant’s responsibility to carry appropriate insurance coverage, including but not limited to general liability and product liability insurance. 365 Night Market LLC does not provide insurance coverage for any Participant’s property, products, or personnel.

4. Indemnification Agreement: By participating in the Event, you agree to indemnify, defend, and hold harmless 365 Night Market LLC, its officers, directors, employees, contractors, and affiliates from any claims, liabilities, damages, costs, or expenses, including attorney fees, arising from your participation. This indemnity applies to, but is not limited to, claims arising from product liability, personal injury, property damage, and violations of applicable laws or regulations.

5. Event Modifications and Cancellations: 365 Night Market LLC reserves the right to modify, postpone, or cancel any Event due to force majeure or other circumstances beyond our control, including but not limited to weather conditions, natural disasters, government regulations, or other unforeseen events. In such cases, 365 Night Market LLC is not liable for any Participant losses, expenses, or inconvenience resulting from changes or cancellation.

6. Intellectual Property: All trademarks, logos, images, and promotional materials created by or associated with 365 Night Market LLC are the exclusive property of the Company. Unauthorized use or reproduction of 365 Night Market LLC intellectual property without prior written consent is prohibited and may result in legal action.

7. No Employment or Agency Relationship: Participation in 365 Night Market does not establish an employment, agency, or partnership relationship between 365 Night Market LLC and any Participant. Participants are considered independent entities and are solely responsible for their actions, products, services, and personnel at the Event.

8. Governing Law and Dispute Resolution: This Legal Disclaimer, as well as all terms related to 365 Night Market LLC, are governed by the laws of the state in which the Event is held. Any disputes arising from or in connection with this Disclaimer or the Event shall be resolved in accordance with the laws and jurisdiction of that state.
